The constitutional law governs the primary organs of the federal government whereas the administrative branch governs the agencies which use regulatory powers over the state. Thus, public law can be labeled as the portion of the law that is involved with the powers, rights, duties, capacities and incapacities of presidency and its delegated authority. The public power is usually exercised via constitutions of nations and other legislative enactments. However, the ability may also be exercised through conventions quite than written law; for example, the UK has a written constitution.

This means it is a default rule, which companies can decide out of (s.20 CA 2006) by reserving powers to members, although corporations rarely do. UK law specifically reserves shareholders right and obligation to approve “substantial non cash asset transactions” (s.a hundred Mart News ninety CA 2006), which suggests these over 10% of firm worth, with a minimum of £5,000 and a most of £100,000. Similar guidelines, although much much less stringent, exist in §271 DGCL and through case law in Germany underneath the so-called Holzmüller-Doktrin.
